Gerriah's Non-Exclusive Producer's Agreement
This agreement aims to establish terms and conditions set forth between the Producer and Licensee after purchasing a non-exclusive lease as of April 19, 2025. This license is effective when the LICENSEE, the party purchasing the agreement, electronically agrees to the terms and conditions in the cart before checkout and/or provides their signature. In these terms and conditions, the PRODUCER, Gerriah has set forth the terms of use and rights granted upon purchase.
Lease Fee:
The Licensee must pay the required amount based on instrumental as stated on gerriahmusic.com on the date of purchase. This agreement is not in effect nor are rights to use the instrumental(s) granted until the lease fee has been paid.
Refund Policy:
The beat purchase is a digital product and is deemed used after downloading or opening and all purchases made are non-refundable or exchangeable. All sales are final and non-negotiable. In special circumstances where a refund is granted, whether through the Producer or a third party such as PayPal or the Producer’s financial institution, this contract is void and the Licensee is revoked of rights to use or exploit the beat in any manner.
Royalties:
To comply with this agreement, the Licensee is subject to making sure the producer is paid royalties. The Licensee acknowledges and understands that the following royalty splits must be set before the release date of the “new song”.
As the composer, “Gerriah Janeece Lynch” will receive the following royalties:
Performance Royalties:
The Licensee agrees to register the new composition with their PRO (ASCAP, BMI, etc.) with “Gerriah Janeece Lynch” having the equivalent of 50% of the writer’s share and 50% of the publisher’s share under “Gerriah Janeece Lynch” (BMI IPI #1072106302).
Mechanical Royalties:
On United States and Canada sales, Licensee will pay mechanical royalties at one hundred percent (100%) of the minimum statutory rate, subject to no cap of that rate for albums and/or EPs.-For license outside the United States and Canada, the mechanical royalty rate will be the rate prevailing on an industry-wide basis in the country concerned on the date that this agreement has been entered into.
The Licensee understands that they must use Gerriah’s full name when assigning splits: “Gerriah Janeece Lynch” .The Licensee must credit the producer on anything related to the “new song” such as social media posts, discs,music videos, etc. in the form of “Prod. by Gerriah”.
The Licensee is also responsible for communicating and making sure these splits are set in place before the release date of their sound recording featuring the original production. Contact gerriahmusic@gmail.com with any inquiries.
Master Recording Clause
The Producer, Gerriah, will own 20% of the sound recording copyright of the new song. For the contributions of the Producer’s beat the Licensee intends to use in the new song, the Licensee agrees to pay the Producer 20% of all sales and streams made from the new recording.
Reproducing and Re-recording Clause
The Licensee agrees in the event that they re-produce, re-record, and or re-release the new song in the future with the new production but not featuring this beat, the Producer, Gerriah, will be entitled to 50% of the publishing of the new release of the song and or any subsequent version as the song was written to Producer’s original instrumental.
Delivery of an instrumental:
Gerriah agrees to provide a mastered version of the instrumental in .wav format.
The website will deliver the downloadable wav. file directly after payment to the email specified in the cart.
Mastered stem tracks will not be provided.
Individual unmastered instrumental tracks can be requested for an additional $25 by contacting gerriahmusic@gmail.com or using the Contact Us page on gerriahmusic.com
Use of the Instrumental:
Gerriah owns 100% of the rights of the instrumental. The rights being granted to you are non-transferable to a third party.
You have the right to use the instrumental in one (1) “new song”/sound recording and one (1) remix or alternate version that uses the likeness of the instrumental. Create the “new song” using new lyrics. The song/sound recording that incorporates the instrumental will be referred to as the “new song”
.The Licensee can only send the instrumentals to individuals involved in the creation of the “new song” such as musicians, studio managers, and engineers. The Licensee cannot illegally copy, stream, sell, duplicate, broadcast, upload, download, or file-share the instrumental in any way.
By signing this agreement, the Licensee agrees to not register the “new song”/new recording with any content identification system (like YouTube’s Content ID on CD Baby or TuneCore), for they do not own the composition of the sound recording. If you violate the terms of this license by doing so, your lease may be revoked without compensation.
Do not register the “new song” that uses the instrumental, under any content identification system to prevent the flagging of songs created by the producer or other Licensees that are using the instrumental.
Limitations:
This agreement grants the right to the Licensee to use the instrumental and individual instrumental tracks, if applicable,“as-is”, not for production collaboration; any manipulation in the instrumentation whether added/subtracted by the Licensee or a third party is a breach of this agreement.
Using the instrumental as a sample, to create or have a third party create another production, is a breach of this contract.
For all Unlimited leases, the Licensee acknowledges and agrees that any rights granted to them by the producer are on a non-exclusive basis and the producer shall continue to license to other Licensees.
The “new song” may be promoted and distributed on any platform with an unlimited amount of copies or sales.
Public and Digital performances
The “new song” may be performed unlimitedly under the non-exclusive license.
Music Videos/Visuals
For all Unlimited leases, The “new song” is allowed unlimited video streams on one (1) monetized music video and an unlimited amount of non-monetized video streams.
The “new song” can be sold as a single or included in a compilation (EP, LP, etc.) created by the Licensee. The Licensee does not have the right to sell the instrumental or the likeness of the instrumental. Any sale of the instrument by the Licensee is a breach of this agreement and the Licensee will be liable to Gerriah, the producer, for monetary and other damages.
Copyright:
If the Licensee decides to copyright the sound recording of the “new song”, they agree to not claim the music and instead put Gerriah Janeece Lynch as the author of the music. The Licensee can only claim the lyrics. Claiming to be the author of the instrumental, is copyright infringement and a breach of this agreement. Copyrighting the “new song” is not a requirement of this agreement, it is up to the Licensee.
Gerriah owns 50% ownership of the sound recording copyright in the “new song” as the author of the music/composition
Breach by Licensee:
If the Licensee violates the policies and agreements set in these terms of conditions document, they will receive a written/email notice by the producer or the producer’s authorized representative and must respond within 5 business days to clear the alleged breach.
No response will result in the default of this agreement and the possible termination of the Licensee’s rights without consultation or compensation.
If the Licensee commercially exploits the instrumental or “new song” past the manners and amounts expressed in this agreement, the Licensee will be liable for the monetary damages (money paid, collected by, received by you or a third party on its behalf, in connection with unauthorized use of the instrumental or “new song”) they caused the Producer.
The Licensee is also responsible for expenses, costs, and damages that result from violating this agreement this includes court costs, litigation, expenses, and reasonable attorney’s fees.
The Licensee agrees that in the event of a breach, or threatened breach, the Producer has the right to seek a temporary restraining order and preliminary injunction preventing the Licensee from violating the requirements of this agreement.
Intended Use:
Gerriah, the Producer, does not guarantee that the instrumental will fit the creative use desired by the Licensee. By signing this the Licensee acknowledges the underlying composition is licensed “as is” and Gerriah is not obligated to make the instrumental fit their project.
You understand that if requested, the unmastered stem tracks you will receive after purchase are only for mixing flexibility. You or a third party outside of Gerriah has no right to add instrumentation or to sample elements of this instrument without her written permission.
By signing this, the Licensee understands and acknowledges that they are 100% responsible for the content they include in the “new song”. If the Licensee samples work from a third party in the "new song", the Licensee understands Gerriah is not liable for any monetary expenses or fees as she was not involved in the act of copyright infringement. The Producer is not responsible for the added elements or lyrics the Licensee uses in the “new song”and the Licensee understands they cannot hold the producer responsible or liable.
The Producer, Gerriah is responsible for not sampling any copyrighted material or sound recordings without receiving permission from the owner in the original instrumental.
The Producer does not have any liability for any samples added by the Licensee, the Licensee is responsible for clearing the samples they choose to add to the "new song" and is therefore solely liable for any monetary damages that result in not gaining clearance.
In the case that third-party claims arise, the non-defaulting party is free, safe, and harmless against all claims, suits, demands, costs, liabilities, losses, damages, judgments, recoveries, costs, and expenses such as attorney fees. These things must be paid for by the defaulting party.
Producer’s Option:
At their sole discretion, the Producer has the option to terminate this License at any time within three (3) years of the date of this Agreement upon written notice to Licensee.
In the event that Producer exercises this option, Producer shall pay to Licensee a sum equal to One Hundred Percent (100%) of the License Fee paid by Licensee.
Upon Producer's exercise of the option, Licensee must immediately remove the New Song from any and all digital and physical distribution channels and must immediately cease access to any streams and/or downloads of the New Song by the general public.
Miscellaneous:
This agreement confirms the understanding of both parties on the terms presented. It cannot be altered, modified, amended, or waived, in any way, except by written agreement and it must be agreed to and signed by both parties. By accepting the terms and conditions via checkout or signing this agreement/ electronically, you acknowledge that you read and agree to this agreement.
You have a right to an attorney reviewing this agreement on your behalf. By signing you acknowledge the option to consult an attorney was made clear and agree to not use a failure to do so as a reason to dishonor or invalidate terms set in this agreement.
Minors under the age of 18, cannot sign this document and therefore, must have a guardian sign for them as a representative. The Licensee understands that if they are a minor, they must review this agreement with their guardian, have their guardian sign, and include a current email for the guardian.
Forgery is a breach of this contract and will lead to the lease being terminated and all rights being revoked.
The signed copy of this agreement or electronic agreement through the company’s website, will be treated as if it were an original manual signature of the Licensee. You must agree before purchasing the lease. Your purchase of the lease will serve as your understanding of the terms and conditions set in this document.
Terms and conditions are set to change periodically and may do so with or without notification. A copy of the terms and conditions that were effective on the day of your purchase will be sent via email.
If for any reason a Licensee decides to terminate their contract, they must stop performing, distributing, selling, and exploiting the derivative song.
